This research work looked into the econometric analysis of the holding of Federal Government domestics’ debt outstanding between 1981 and2012. The data is a Secondary one obtained from periodic reports of Central Bank of Nigeria (CBN) and debt management office report. Test of Normality; indicate that the data was normally distributed. The variance inflation factor (VIF) shows that, there is no multicollinearity in the data, meaning that there is no linear dependence among the variables.   The Anova test was used to test the significance of the regression model and the result was statistically significant. The test for significance of the original model indicate that X1 that is, domestic debt owed CBN by Federal Government does not contribute significantly to domestic debt owed non-bank by Federal Government. From the analysis, the model for the original data was found to be Ŷ= 21172.439+0.012X1+0.388X2+2.865X3
